    Terms of Use

    The rules that apply when you access or use Lexter Intelligence websites, applications and related services.

    1. Agreement to these Terms

    These Terms of Use form an agreement between you and Lexter Search Inc. governing your access to Lexter Intelligence websites, applications, protected workspaces and related services (collectively, the Service). By accessing or using the Service, you agree to these Terms. If you use the Service for an organization, you confirm that you have authority to bind that organization.

    A signed order form, subscription agreement or other written agreement may contain additional terms. If there is a conflict, the signed agreement controls for the subject it addresses.

    2. The Service

    Lexter provides Canadian legal-market research, intelligence, search, reporting and workflow tools. Features, data coverage, integrations and availability can vary by plan, workspace, role, configuration and release stage. We may improve, add, remove or change features over time, subject to any commitments in a signed agreement.

    3. Accounts and authorized use

    You must provide accurate account information, keep credentials confidential and promptly notify us of suspected unauthorized access. You are responsible for activity under your account unless applicable law or a signed agreement provides otherwise. Access rights are personal to the authorized user and must not be shared.

    You may use the Service only for lawful professional purposes within the permissions of your account and workspace. Customer administrators are responsible for assigning appropriate roles and promptly removing access that is no longer required.

    4. Responsible-use requirements

    You must not use the Service to:

    • break any law or another person's privacy, confidentiality or intellectual-property rights;
    • access, test or interfere with systems, accounts, data or workspaces without authorization;
    • scrape, harvest, bulk-export or build a competing database except as expressly authorized;
    • reverse engineer, bypass controls or attempt to discover non-public source code or security measures;
    • upload malicious code or content you do not have the right to use;
    • infer or target health, family status, protected characteristics, private intent, performance or willingness to change employment from professional records;
    • treat an automated result as the sole basis for an employment, recruiting, client or other material decision about a person;
    • send unlawful, deceptive, discriminatory or unauthorized outreach; or
    • misrepresent Lexter data, methodology, confidence, provenance or limitations.

    5. Professional records and outputs

    The Service may organize information from public, professional, licensed, customer-authorized and other represented sources. Sources can be incomplete, delayed, inconsistent or wrong. A search result, score, market pattern or generated explanation is a research aid, not proof of suitability, interest, intent, performance, causation or a complete professional history.

    You must review important records, definitions, time periods, sources and limitations before acting. Lexter does not provide legal advice, employment advice or a substitute for qualified professional judgment. You remain responsible for lawful, fair and context-appropriate use.

    6. Your content and confidential information

    You retain ownership of content you or your organization submits to the Service. You grant Lexter a limited right to host, process, transmit, reproduce and display that content as necessary to provide, secure, support and improve the Service and to meet legal obligations.

    You must have all rights, notices and consents required to submit the content. Do not place privileged, highly sensitive or third-party confidential information in the Service unless your organization has authorized the workflow and the applicable agreement permits it.

    7. Privacy

    Our Privacy Policy describes how Lexter Search Inc. handles personal information. Customer organizations may have additional privacy obligations and notices for information they control in a protected workspace.

    8. Intellectual property

    Lexter and its licensors retain all rights in the Service, including its software, design, documentation, taxonomies, selection and arrangement of data, branding and underlying technology. Except for the limited right to use the Service under these Terms and any signed agreement, no rights are granted by implication.

    If you provide feedback, you permit Lexter to use it without restriction or payment, provided that we do not identify you publicly without permission.

    9. Fees, trials and free offers

    Fees, billing periods, usage limits, renewal terms and taxes are set out in the applicable checkout, order form or subscription agreement. A free request, pilot or trial is limited to the scope described with the offer and does not guarantee continued or unrestricted access. We will not charge a payment method unless the applicable purchase flow or agreement clearly authorizes the charge.

    10. Third-party services

    The Service may interoperate with third-party services or link to third-party websites. Those services are governed by their own terms and privacy practices. Lexter is not responsible for third-party services that it does not control.

    11. Availability and disclaimers

    We work to provide a useful and secure Service, but the Service is provided on an "as is" and "as available" basis to the maximum extent permitted by law. Lexter disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement and uninterrupted or error-free operation where those warranties may lawfully be disclaimed.

    We do not warrant that every record is complete, current or accurate, that an output will produce a particular business or recruiting result, or that the Service will always be available without interruption.

    12. Limitation of liability

    To the maximum extent permitted by law, Lexter Search Inc. and its directors, officers, employees, contractors and suppliers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, goodwill, data or business opportunity arising from the Service.

    To the maximum extent permitted by law, Lexter's aggregate liability arising from the Service will not exceed the amount paid by the applicable customer for the Service during the 12 months before the event giving rise to the claim. If no amount was paid, the aggregate limit is CAD $100. These limits do not apply where they are prohibited by law or where a signed agreement expressly provides a different limit.

    13. Suspension and termination

    You may stop using the Service at any time, subject to any subscription or signed-agreement commitments. We may suspend or terminate access where reasonably necessary to address security risk, non-payment, unlawful use, a material breach, harm to another user or the Service, or a legal requirement. Where appropriate, we will provide notice and a reasonable opportunity to cure.

    Terms that by their nature should survive termination will survive, including provisions on intellectual property, disclaimers, liability, governing law and accrued payment obligations.

    14. Governing law

    Unless a signed agreement states otherwise, these Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-law rules. The courts located in Alberta will have exclusive jurisdiction, except where applicable law requires another forum.

    15. Changes and contact

    We may update these Terms as the Service or applicable requirements change. We will post the revised Terms with a new last-updated date and provide additional notice where required. Your continued use after the effective date means you accept the revised Terms, subject to applicable law and any signed agreement.
